1. Service Description

dropme.music is a payment processing platform that enables artists to sell their music directly to consumers. We act solely as a payment intermediary and technical service provider.

2. Artist Obligations

By uploading content to dropme.music, you (the Artist) confirm and warrant that: • You own all rights to the uploaded music, including copyright, performance rights, and mechanical rights • You have obtained all necessary permissions, licenses, and clearances for samples, collaborations, or third-party content • You are solely responsible for all collecting society registrations (GEMA, AKM, ASCAP, BMI, PRS, SACEM, etc.) • You will comply with all applicable laws and regulations in your jurisdiction • The content does not violate any third-party rights or applicable laws YOU ACKNOWLEDGE THAT DROPME.MUSIC IS NOT RESPONSIBLE FOR YOUR CONTENT OR YOUR COMPLIANCE WITH COPYRIGHT AND LICENSING OBLIGATIONS.

3. Platform Role

dropme.music operates exclusively as a payment processor and technical infrastructure provider. We: • DO NOT verify, validate, or guarantee the legality of uploaded content • DO NOT act as a music distributor, publisher, or rights holder • DO NOT assume liability for copyright infringement or licensing violations • DO NOT mediate disputes between artists and rights holders All content liability remains solely with the uploading artist.

4. Rights Management

Artists are solely responsible for: • Registering works with collecting societies (if applicable) • Paying mechanical royalties and performance rights fees • Managing synchronization rights and master use licenses • Handling territorial restrictions and geo-blocking requirements • Clearing samples and obtaining necessary permissions dropme.music provides no rights management services.

5. Payment Terms

• Platform fee: 15% of gross sales price • Payment processing fees: Stripe rates (€0-5: 5% + €0.05 / €5-150: 1.9% + €0.25) • VAT/Tax: We handle all VAT compliance via EU OSS scheme and Stripe Tax for non-EU regions. If tax is not collected for technical reasons, the artist is responsible for properly declaring and remitting VAT. • Payouts: Via Stripe Connect to artist's verified account • Artist receives: ~80% of gross sales (85% minus payment processing fees) • No refunds on digital downloads (EU law exceptions apply)

6. Content Removal

We reserve the right to remove content immediately if: • We receive a valid DMCA takedown notice • We receive a cease and desist order • Content violates applicable laws • Court order or legal requirement demands removal No refunds are provided for removed content. Artists remain liable for all legal consequences.

7. Liability Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW: • dropme.music provides services "AS IS" without warranties • We are not liable for artist copyright violations • Maximum liability is limited to fees paid in the last 12 months • We are not liable for indirect, consequential, or punitive damages • Artists indemnify dropme.music against third-party claims

8. DAC7 Tax Reporting (EU Directive 2021/514)

As a digital platform operator within the EU, dropme.music is required to comply with the DAC7 directive for tax transparency: • Reporting threshold: Artists who exceed €2,000 in annual sales OR complete 30+ transactions per year • Data collected: Full name, date of birth, address, tax identification number (if provided), VAT ID (if applicable), and total sales amounts • Reporting deadline: We submit annual reports to Austrian tax authorities by January 31st of the following year • Artist responsibility: You must provide accurate personal information through Stripe Connect onboarding • Tax ID requests: We may request your tax identification number if you meet reporting thresholds • Data sharing: Your information will be shared with EU tax authorities as required by law By using dropme.music, you acknowledge and consent to this mandatory tax reporting.

9. Jurisdiction & Governing Law

These Terms are governed by Austrian law. Exclusive jurisdiction is in Vienna, Austria. If you are a consumer within the EU, mandatory consumer protection laws of your country of residence may also apply.
